Explanation of Responses:
1. Restricted stock units convert into common stock on a one-for-one basis.
2. Represents shares of common stock withheld by Issuer to pay tax withholding obligation of Reporting Person upon the vesting of restricted stock units granted to the Reporting Person on May 28, 2012.
3. Represents shares of common stock withheld by Issuer to pay tax withholding obligation of Reporting Person upon the vesting of restricted stock units granted to the Reporting Person on January 22, 2013.
4. Represents shares of common stock withheld by Issuer to pay tax withholding obligation of Reporting Person upon the vesting of restricted stock units granted to the Reporting Person on January 22, 2013.
5. Represents shares of common stock withheld by Issuer to pay tax withholding obligation of Reporting Person upon the vesting of restricted stock units granted to the Reporting Person on January 13, 2014.

On January 22, 2013, the Reporting Person was granted 5,250 restricted stock units, vesting in five installments, with one-third vesting on April 1, 2013 and the remaining restricted stock units vesting in four equal semi-annual installments, subject to the continued employment of the Reporting Person with Issuer.
10. On January 13, 2014, the Reporting Person was granted 6,295 restricted stock units, vesting in six equal semi-annual installments beginning on October 1, 2014, subject to the continued employment of the Reporting Person with Issuer.
11. of Progress Software Corporation (the "Company") and Shana L. York,

Counsel of the Company, signing singly, the undersigned's true and lawful

attorney-in-fact to:



1.execute for and on behalf of the undersigned, in the undersigned's

capacity as an officer, director and/or 10% shareholder of the Company,

Form 144 Notice of Proposed Sale of Securities pursuant to Rule 144

under the Securities Act of 1933;



2.execute for and on behalf of the undersigned, in the undersigned's

capacity as an officer, director and/or 10% shareholder of the Company,

Forms 3, 4 and 5 in accordance with Section 16(a) of the Securities

Exchange Act of 1934 and the rules thereunder;



3.do and perform any and all acts for and on behalf of the undersigned

which may be necessary or desirable to complete and execute any such

Forms 144, 3, 4 or 5 and timely file such forms with the United States

Securities and Exchange Commission and any stock exchange or similar

This Power of Attorney shall remain in full force and effect until the

undersigned is no longer required to file Forms 144, 3, 4 and 5 with respect

to the undersigned's holdings of and transactions in securities issued by the

Company, unless earlier revoked by the undersigned in a signed writing

delivered to the foregoing attorneys-in-fact.
